End User License Agreement
Effective July 16, 2026
This End User License Agreement ("Agreement") is a legal agreement between you and Lacerta Film Lab ("Lacerta," "we," "us," or "our") for the Lacerta Film Lab software, including the OpenFX plugin, License Manager, installer, documentation, updates, and related files (collectively, the "Software"). By installing, activating, copying, or using the Software, you accept this Agreement. If you do not accept it, do not install or use the Software.
1. License grant
Subject to this Agreement and payment of any applicable fee, Lacerta grants you a limited, non-exclusive, non-sublicensable, non-transferable license to install and use the Software on one compatible computer at a time for each license seat you purchase. A perpetual license permits continued use of the version made available to you and does not require a subscription or periodic license-key entry.
You may keep a reasonable backup copy of the installer for your own use. The installer itself may remain shareable as a demo installer, but your license key, activated lease, and licensed use rights are personal to you and may not be shared.
2. Demo license
The demo may be used to evaluate the complete image engine for as long as Lacerta makes that demo available. Demo output includes a visible watermark and LUT export is disabled. You may not remove, obscure, crop for the purpose of evasion, bypass, or interfere with the demo watermark or any other demo restriction. Demo projects may be reopened after activation.
3. Activation and machine binding
Paid use requires a unique license key issued through Lemon Squeezy and the exact email used at checkout. One seat may be activated on one machine at a time. Activation creates a signed license lease bound to an app-specific hash derived from that machine. Copying the installer, plugin, or local lease to another machine does not license that machine.
A perpetual activation remains licensed on the activated computer without periodic renewal or repeated key entry. Internet access is required to activate, deactivate, or transfer a seat. To move a seat, deactivate the old computer in Lacerta License Manager before activating the replacement. If the old computer is lost or unavailable, contact support with your order number and a redacted key reference so the purchase can be verified. Do not send a complete license key by email.
4. Restrictions
Except where applicable law expressly permits otherwise, you may not:
- share, publish, sell, rent, lease, sublicense, transfer, or distribute a license key, activated lease, or licensed copy of the Software;
- use one license seat on more than one machine at a time;
- circumvent activation, machine binding, license checks, watermarking, export restrictions, or other technical protections;
- reverse engineer, decompile, disassemble, translate, modify, or create derivative works from the Software;
- remove or alter copyright, trademark, attribution, license, security, or proprietary notices; or
- use the Software in violation of law or the rights of another person.
Nothing in this section limits rights that cannot lawfully be excluded. If applicable law permits reverse engineering for interoperability despite this restriction, you must first request the information reasonably needed from Lacerta.
5. Ownership
The Software is licensed, not sold. Lacerta and its licensors retain all right, title, and interest in the Software, including its code, design, documentation, branding, and intellectual property. You retain all rights in footage, images, grades, presets, profiles, and other material you create or process with the Software. This Agreement does not give Lacerta ownership of your creative work.
6. Third-party materials and film references
The Software may include third-party components governed by notices supplied with the installer. Lacerta is an independent product and is not sponsored, approved, or endorsed by Blackmagic Design or any film manufacturer. DaVinci Resolve, film stock, product, company, and trademark names belong to their respective owners and are used for compatibility or identification of modeled photographic materials.
7. Updates, compatibility, and support
Lacerta may provide corrections, updates, or new versions at its discretion. A perpetual license does not guarantee future major-version upgrades, new features, compatibility with every future operating-system, host, or hardware release, or a particular support period unless a separate written offer says otherwise.
DaVinci Resolve, operating systems, GPU drivers, hardware, and third-party components can change independently of Lacerta. You are responsible for testing the free demo on your intended system and for validating important output before delivery. 8. Purchases and refunds
Payments are processed by Lemon Squeezy as merchant of record and are also subject to Lemon Squeezy's buyer terms. Because the Software is downloadable and a free watermarked demo is available, Lacerta's policy is that sales are final after a license key is delivered, except where mandatory law, Lemon Squeezy's terms, or a verified delivery or activation failure requires a remedy. This Agreement does not limit consumer rights that cannot legally be waived.
9. Termination
This Agreement remains in effect until terminated. Your rights terminate automatically if you materially breach it. A refund, chargeback, fraudulent purchase, or license revocation may disable future activation, deactivation, transfer, downloads, updates, or support. Upon termination, you must stop licensed use and delete licensed copies and local license data, although you may reinstall the publicly available demo under its demo terms. Sections that by their nature should survive termination remain in effect, including ownership, restrictions, warranty disclaimers, liability limits, and governing law.
10. Warranty disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. LACERTA DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND ACCURACY. LACERTA DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, COMPATIBLE WITH EVERY SYSTEM, OR SUITABLE FOR A PARTICULAR CREATIVE OR COMMERCIAL RESULT.
Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LACERTA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, DATA, FOOTAGE, PROJECTS, OPPORTUNITIES, OR GOODWILL, ARISING FROM OR RELATED TO THE SOFTWARE, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LACERTA'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SOFTWARE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE LICENSE GIVING RISE TO THE CLAIM. These limits do not apply where liability cannot legally be limited, including liability for fraud, willful misconduct, or personal injury caused by negligence where applicable law forbids exclusion.
12. Export and sanctions compliance
You may not use, export, re-export, or transfer the Software in violation of applicable export-control, sanctions, or trade laws. You represent that you are not prohibited from receiving the Software under those laws.
13. Governing law
This Agreement is governed by the laws of the State of Michigan, USA, without regard to conflict-of-law rules. Courts located in Michigan will have exclusive jurisdiction, except that this section does not deprive a consumer of mandatory protections or forums available under the law of the consumer's residence. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
14. General terms
If any provision is held unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver. You may not assign this Agreement without Lacerta's written consent. Lacerta may assign it in connection with a merger, acquisition, reorganization, or sale of the product or business. This Agreement, the applicable purchase terms, the Privacy Policy, and any third-party notices supplied with the Software form the entire agreement concerning the Software and replace prior statements on the same subject.
